Affiliate Program – Terms of Participation

A. Overview (Overview)

These participation terms (“Terms”) govern membership and participation in the affiliate or ambassador program of Pammys Affiliate Club (hereinafter referred to as the “Provider”). By registering for and participating in the program, you agree to be legally bound by these Terms.

Participation in the program is permitted exclusively for natural persons who have reached the age of 18. By registering, you expressly confirm that you are of legal age. The provider reserves the right to request appropriate proof of age.

The provider is entitled to amend these terms at any time with effect for the future. Your continued participation in the program after an amendment constitutes acceptance of the revised terms.

A violation of these terms may result in the immediate termination of your account. In this case, all commissions that have not yet been paid out, as well as all benefits associated with participation, will be forfeited.

B. Your Referral Link and Commission (Your Referral Link and Commission)

After being successfully accepted into the program, you will receive an individual referral link and a personal discount code, both uniquely assigned to you. These are used to track sales referred by you.

Commissions are granted exclusively for sales generated through your personal link or discount code for which payment has been completed in full. The entitlement to a commission is forfeited in particular if orders are canceled, revoked, or reversed for other reasons.

The specific commission rate and payment terms are determined by the provider and may be adjusted at any time. There is no entitlement to the continuation of specific commission models without changes.

C. Permitted Use (Permitted Use)

You agree to prominently display your personal discount code in the bio or profile description of the social media channels you use, provided that the respective platform technically allows this. The aim is to ensure clear and transparent attribution of your referral link and discount code.

Use must always be transparent, truthful, and in compliance with applicable legal regulations. In particular, you are required to properly label advertising content and refrain from making misleading statements.

Responsibility for distributing, using, and monitoring their own discount code and personal referral link lies exclusively with the respective Affiliate Partner. The Provider assumes no liability for misuse, unauthorized disclosure, or improper distribution of the code by third parties.

The Affiliate is required to take reasonable measures to prevent misuse of their discount code. If the Provider detects misuse or suspects abusive use, it reserves the right to temporarily suspend or permanently deactivate the relevant discount code or Affiliate account at any time.

D. Mandatory Activity and Product Requirements (Mandatory Activity and Product Requirements)

By participating in the Affiliate or Ambassador Program, the Affiliate agrees to publish at least four (4) original posts per calendar month on the agreed social media platforms after receiving the products provided. Posts include, in particular, TikToks, Reels, feed posts, or comparable content that clearly promotes the Provider or its products. Stories do not count toward the required four (4) posts.

After receiving a product provided by the Provider, at least the first corresponding piece of content must be published within seven (7) days.

The content must comply with the program requirements. The Provider reserves the right to reject content that does not comply with the quality or brand guidelines.

If the Affiliate fails to comply with this obligation and publishes fewer than four posts per calendar month, the Provider is entitled to invoice the products provided, in particular shoes or other items sent, in full. The Affiliate expressly agrees to bear the corresponding costs in this case.

The amount of the invoice is based on the regular retail price of the respective products at the time of calculation.

E. Prohibited Use (Prohibited Use)

It is expressly prohibited to use the provider's original content or other creators' content for your own purposes or to present it as your own content without prior express permission.

You are likewise not permitted to distribute your personal referral link or discount code on publicly accessible coupon, deal, or aggregator websites. This includes, in particular, platforms such as Reddit, Google search results pages, coupon portals, or comparable offer pages.

The use of paid advertisements, particularly through platforms such as Google Ads, targeting the provider's brand terms is prohibited. This applies regardless of whether the advertising links directly or indirectly to your referral link.

Furthermore, you may not place your referral link or discount code on the provider's official social media profiles or in posts, comments, or content belonging to other creators.

Any form of disparaging or negative portrayal of the provider's products, content, employees, or business practices is prohibited. In connection with promotions, you may not use inappropriate language or refer to controversial or sensitive topics that could harm the provider's reputation.

You are also prohibited from contacting the provider's moderators or support channels regarding individual orders, particularly when those orders were generated through your referral link. Employees or representatives of the provider may likewise not be contacted through their private social media accounts.

Requests concerning internal processes, particularly product releases, restocking, or other information not publicly communicated, are also prohibited.

A violation of these provisions will result in the immediate termination of your participation in the program. In this case, your account will be suspended and all commissions that have not yet been paid will be forfeited without compensation.

The provider reserves the right to amend or supplement these provisions at any time. Your continued participation constitutes acceptance of the amended terms.

F. Representations and Warranties

By participating, you confirm that all information you provide is truthful and complete. You undertake not to publish any content that violates applicable law or infringes third-party rights.

You assure that you will not make any misleading or false statements about the provider’s products or services and will comply with all statutory provisions, particularly those relating to competition law, data protection, and advertising disclosures.

G. Term and Termination

Participation in the affiliate program is for an indefinite period. Both parties have the right to end participation at any time.

The provider is entitled to suspend or terminate your account at any time and without stating reasons. If your account is terminated due to a violation of these terms, you will have no claim to the payment of any outstanding commissions.

H. Confidentiality

All information made available to you as part of the program that is not publicly accessible is considered confidential. You agree neither to disclose this information to third parties nor to use it for purposes other than participating in the program.

You may communicate and promote the general benefits and publicly communicable services of the Pammys Affiliate Club externally. Details of the Affiliate Club that are not intended for public communication, particularly internal procedures, specific commission or compensation models, internal figures, payout arrangements, terms, processes, internal communications, and other confidential information, may not be disclosed to third parties or made public.

In the event of a breach of this confidentiality obligation, the provider is entitled to terminate the affiliate’s participation with immediate effect. In this case, all commissions not yet paid out, as well as all benefits associated with participation, will be forfeited.

I. Liability and Indemnification

You agree to indemnify the provider against all third-party claims arising from your conduct in connection with participation in the program. This applies in particular to violations of statutory provisions, third-party rights, or these terms.

J. No Public Representation

You are not authorized to act on behalf of the company or to create the impression that you are an official representative or employee of the provider without the provider’s prior express written consent.

K. Non-Disparagement

You undertake not to disseminate any statements or content that could damage the provider's reputation or standing. This applies both during participation in the program and after its termination.

L. Behavior, Language, and Public Communication

The Creator undertakes to interact with Pammys and its employees, partners, customers, and other Creators respectfully, objectively, and appropriately. This applies in particular to communication within and outside the Pammys Affiliate Club, as well as public statements on social media platforms and other communication channels.

Insulting, disrespectful, derogatory, defamatory, or business-damaging statements about Pammys, its employees, products, or business partners are not permitted. It is also prohibited to deliberately incite or provoke other Creators, fuel conflicts within the community, knowingly spread false information, or engage in any other conduct that could significantly undermine trust in Pammys or cohesion within the affiliate program.

In the event of a violation of these provisions, Pammys is entitled to terminate its cooperation with the Creator with immediate effect and exclude the Creator from the affiliate program. In this case, all outstanding commissions may lapse in accordance with the applicable provisions of these Terms and Conditions and will not be paid out. Pammys' further claims shall remain unaffected.

M. Miscellaneous

Under this program, you act as an independent affiliate and not as an employee or representative of the provider. You are solely responsible for properly declaring and paying taxes on your income. Responsibility for the tax treatment and, where applicable, required flat-rate taxation of products received under the program lies exclusively with the respective affiliate.

The law of the Federal Republic of Germany shall apply. Should any provision of these terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
