Affiliate Program - Terms of Participation

A. Overview (Overview)

These Terms of Participation (“Terms”) govern membership and participation in the Pammys Affiliate Club’s affiliate or ambassador program (hereinafter referred to as the “Provider”). By registering for and participating in the program, you agree to be bound by these Terms.

Only individuals aged 18 or older may participate in the program. By registering, you expressly confirm that you are of legal age. The provider reserves the right to request proof of age.

The provider may amend these terms at any time, effective for the future. Your continued participation in the program after an amendment constitutes acceptance of the amended terms.

A breach of these terms may result in the immediate termination of your account. In this case, all outstanding commissions and any benefits associated with participation will be forfeited.

B. Your Referral Link and Commission (Your Referral Link and Commission)

Once you have been successfully accepted into the program, you will receive a unique referral link and personal discount code assigned specifically to you. These are used to track sales you refer.

Commissions are granted only for sales generated through your personal link or discount code for which payment has been completed in full. You are not entitled to a commission if an order is canceled, withdrawn from, or reversed for any other reason.

The specific commission rate and payment terms are determined by the provider and may be adjusted at any time. There is no entitlement to the continued availability of any particular commission model.

C. Permitted Use (Permitted Use)

You agree to display your personal discount code prominently in the bio or profile description of the social media channels you use, where the platform technically allows this. The aim is to clearly and transparently attribute your referral link and discount code.

Use must always be transparent, truthful, and compliant with applicable laws. In particular, you are required to properly disclose promotional content and not make misleading statements.

Responsibility for distributing, using, and monitoring their own discount code and personal referral link rests solely with the relevant Affiliate Partner. The Provider accepts no liability for misuse, unauthorized sharing, or improper distribution of the code by third parties.

The Affiliate is required to take reasonable measures to prevent misuse of their discount code. If the Provider detects misuse or suspects that the code is being used improperly, it reserves the right to temporarily suspend or permanently deactivate the relevant discount code or Affiliate account at any time.

D. Mandatory Activity and Product Requirements (Mandatory Activity and Product Requirements)

By participating in the Affiliate or Ambassador Program, the Affiliate agrees to publish at least four (4) posts per calendar month on Instagram after receiving the products provided. These must consist of at least two (2) Reels and/or TikToks and at least two (2) Instagram Stories. The Stories must clearly promote the Provider or its products. This requirement applies regardless of whether the content is published on one or more of the agreed social media platforms, unless otherwise agreed.

After receiving a product provided by the Provider, at least the first relevant piece of content must be published within seven (7) days.

The content must meet the program requirements. The Provider reserves the right to reject content that does not comply with the quality or brand guidelines.

If the Affiliate fails to meet this obligation and does not fulfill the required minimum number or agreed distribution of posts, the Provider is entitled to charge the full retail price for the products provided, particularly shoes or other items sent. The Affiliate expressly agrees to cover the corresponding costs in this case.

The invoice amount is based on the regular retail price of the relevant products at the time of calculation.

E. Prohibited Use (Prohibited Use)

You are expressly prohibited from using the Provider’s original content or other creators’ content for your own purposes, or presenting it as your own, without prior express permission.

You may not distribute your personal referral link or discount code on publicly accessible coupon, deal, or aggregator websites. These include, in particular, platforms such as Reddit, Google search results pages, coupon websites, or similar deal sites.

Paid advertising targeting the Provider’s brand terms, particularly through platforms such as Google Ads, is prohibited. This applies regardless of whether the advertising links directly or indirectly to your referral link.

Furthermore, you may not post your referral link or discount code on the Provider’s official social media profiles or in posts, comments, or content by other creators.

Any form of disparagement or negative portrayal of the Provider’s products, content, employees, or business practices is prohibited. You must not use inappropriate language or refer to controversial or sensitive topics in connection with your promotion if they could harm the Provider’s reputation.

You are also prohibited from contacting the Provider’s moderators or support team about individual orders, particularly orders generated through your referral link. You may not contact the Provider’s employees or representatives through their private social media accounts either.

Inquiries about internal processes, particularly product launches, restocks, or other information that has not been publicly announced, are also prohibited.

Any violation of these provisions will result in the immediate termination of your participation in the program. In this case, your account will be suspended, and all commissions that have not yet been paid out will be forfeited without compensation.

The Provider reserves the right to change or expand these rules at any time. Your continued participation constitutes acceptance of the revised terms.

F. Representations and Warranties

By participating, you confirm that all the information you provide is truthful and complete. You agree not to publish any content that violates applicable law or infringes the rights of third parties.

You warrant that you will not make misleading or false statements about the provider’s products or services and will comply with all legal regulations, particularly those relating to competition law, data protection, and advertising disclosures.

G. Term and Termination

Participation in the affiliate program is for an indefinite term. Either party has the right to terminate participation at any time.

The provider is entitled to suspend or terminate your account at any time and without stating a reason. If your account is terminated due to a breach of these terms, you are not entitled to payment of any outstanding commissions.

H. Confidentiality

All information made available to you as part of the program that is not publicly accessible is considered confidential. You agree not to disclose this information to third parties or use it for any purpose other than participating in the program.

You may communicate and promote the general benefits and publicly communicable services of the Pammys Affiliate Club. Details of the Affiliate Club that are not intended for public communication, in particular internal procedures, specific commission or compensation models, internal figures, payment arrangements, terms, processes, internal communications, and other confidential information, must not be disclosed to third parties or made public.

If you breach this confidentiality obligation, the provider is entitled to terminate the affiliate’s participation with immediate effect. In this case, all outstanding commissions and any benefits associated with participation will be forfeited.

I. Liability and Indemnification

You agree to indemnify the provider against all third-party claims arising from your conduct in connection with participating in the program. This applies in particular to violations of legal regulations, third-party rights, or these terms.

J. No Public Representation

You are not authorized to act on behalf of the company or to give the impression that you are an official representative or employee of the provider without the provider’s prior express written consent.

K. Non-Disparagement

You agree not to disseminate statements or content that could damage the provider's reputation or standing. This applies both during your participation in the program and after it ends.

L. Behavior, Language, and Public Communication

The Creator agrees to treat Pammys and its employees, partners, customers, and other Creators with respect and to communicate in an objective and appropriate manner. This applies in particular to communications within and outside the Pammys Affiliate Club, as well as public statements on social media platforms and other communication channels.

Offensive, disrespectful, derogatory, defamatory, or commercially damaging statements about Pammys, its employees, products, or business partners are not permitted. Also prohibited are deliberately inciting or provoking other Creators, stirring up conflicts within the community, knowingly spreading misinformation, and any other behavior likely to significantly undermine trust in Pammys or cohesion within the affiliate program.

If these provisions are violated, Pammys is entitled to terminate its collaboration with the Creator with immediate effect and exclude the Creator from the affiliate program. In this case, any outstanding commissions may be forfeited in accordance with the applicable provisions of these Terms and will not be paid out. This does not affect any further claims Pammys may have.

M. Miscellaneous

You participate in this program as an independent affiliate, not as an employee or representative of the provider. You are solely responsible for properly reporting and paying taxes on your income. Responsibility for the tax treatment and, where applicable, any required flat-rate taxation of products received as part of the program lies exclusively with the respective affiliate.

The laws of the Federal Republic of Germany shall apply. Should any provision of these Terms be or become invalid, the validity of the remaining provisions shall remain unaffected.
